1. AGREEMENT TO TERMS
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Unskipped Ltd, trading as Fiscal Flow (“Fiscal Flow,” “we,” “us,” or “our”), Company Number 14533994, governing your access to and use of our marketing platform, website infrastructure, and related services (collectively, the “Service”).
By subscribing to, accessing, or using the Service — including by starting a Free Trial — you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. SERVICE DESCRIPTION
2.1 Service Tiers
Fiscal Flow offers two primary subscription tiers:
- The Complete Marketing System (£197/month or $297 USD/month): Done-for-you branded website, up to 300 niche landing pages deployed on your domain, integrated CRM with lead tracking and source attribution, automated follow-up sequences (missed call text-back, email nurture, review requests), online booking system, live KPI dashboard, email support, up to 2 users. Build timeline: 14 days from onboarding call.
- Fractional CMO & Digital Transformation (Custom pricing): All features of The Complete Marketing System, plus: Revenue Mapping deep-dive with competitive analysis, custom CRM automations and onboarding workflows, managed paid advertising campaigns (Meta and Google) with full tracking, monthly pipeline review calls, quarterly strategy sessions, priority support, unlimited users.
Optional add-ons may be offered and are subject to separate pricing communicated at the time of purchase. We reserve the right to modify the features included in each tier with 30 days’ written notice.
2.2 Landing Page Volume
References to “300 landing pages” or “up to 300 landing pages” throughout our marketing materials and these Terms denote the maximum number of niche-specific landing pages included in a standard deployment. The actual number deployed may vary depending on the geographic scope of your practice, the number of service niches targeted, and the results of the Revenue Mapping process. The specific volume will be agreed during your onboarding call.
2.3 Service Availability
We strive to maintain 99.5% uptime for the Service, excluding scheduled maintenance. We do not guarantee uninterrupted access and shall not be liable for any unavailability due to circumstances beyond our reasonable control.
2.4 Service Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice. Material changes affecting core functionality will be communicated at least 30 days in advance.
3. FREE TRIAL
3.1 Trial Period
New subscribers to The Complete Marketing System may be offered a 30-day free trial (“Free Trial”). The Free Trial begins on the date you complete registration and provide a valid payment method. You will not be charged during the Free Trial period.
3.2 Trial Scope
During the Free Trial, you receive full access to the Service as described in Section 2.1, including the complete website build, landing page deployment, CRM configuration, and automation setup. The Free Trial is not a limited or reduced version of the Service.
3.3 Automatic Conversion
At the end of the 30-day Free Trial, your subscription will automatically convert to a paid monthly subscription at the applicable rate (£197/month or $297 USD/month) unless you cancel before the trial expires. By starting the Free Trial, you authorize us to charge your designated payment method automatically upon trial expiration.
3.4 Cancellation During Trial
You may cancel at any time during the Free Trial by providing notice through your account dashboard or by emailing support@fiscalflow.uk. If you cancel during the Free Trial, you will not be charged. Upon cancellation during the trial period, access to the Service will continue until the end of the 30-day trial period, after which access will be revoked.
3.5 Trial Eligibility
Free Trials are available to new subscribers only. Each business entity is eligible for one Free Trial. We reserve the right to determine eligibility and to withdraw the Free Trial offer at any time without notice.
3.6 Assets Created During Trial
The website, landing pages, CRM configuration, and other assets built during the Free Trial remain the property of Fiscal Flow until the first subscription payment is successfully processed. Upon first payment, ownership of those assets transfers to you subject to the terms in Section 7. If you cancel during the Free Trial without making any payment, Fiscal Flow reserves the right to depublish and reclaim all assets created during the trial period.
4. PERFORMANCE GUARANTEE
4.1 The 12-Month Guarantee
If, after 12 consecutive months of active subscription to The Complete Marketing System, the Service has not generated new client engagements with a projected Lifetime Value equal to at least five times (5×) the total subscription fees paid during that 12-month period (“Guaranteed Return”), you may request a full refund of all subscription fees paid during those 12 months (“Guarantee Refund”).
4.2 Lifetime Value Calculation
“Lifetime Value” (LTV) is calculated for each new client engagement by multiplying the annualised recurring fee of the engagement by the applicable retention period. The applicable retention period is the actual measured retention of the client at the time the guarantee claim is assessed, or 3 years, whichever is lower.
For clarity:
- If a client was acquired 8 months ago and is still active at the time of the guarantee claim, the retention period used is 8 months (actual retention), not 3 years.
- If a client was acquired 4 years ago and is still active, the retention period used is 3 years (the cap), not 4 years.
- If a client was acquired 6 months ago and has since cancelled, the retention period used is 6 months (actual retention).
Only the recurring or annual fee component of the engagement is included in the LTV calculation. One-off project fees, ad-hoc advisory fees, or disbursements are excluded unless they form part of a documented recurring engagement.
Example: A new client engagement with an annual recurring fee of £2,000 who has been retained for 10 months at the time of the guarantee claim has an LTV of £1,667 (£2,000 ÷ 12 × 10 months). A new client with the same fee who has been retained for the full 12 months and is still active has an LTV of £2,000 (actual retention of 12 months, which is lower than the 3-year cap). A client retained for 3 or more years is capped at an LTV of £6,000 (£2,000 × 3 years).
4.3 Attribution
Only new client engagements that are directly attributable to leads generated through the Fiscal Flow system during the 12-month period qualify toward the Guaranteed Return. Attribution is determined by CRM source tracking data. Leads that entered the CRM through a Fiscal Flow landing page, booking link, or tracked campaign are considered attributable. Leads from referrals, personal networking, or other sources not tracked by the system are excluded from the calculation.
4.4 Eligibility Conditions
To be eligible for the Guarantee Refund, all of the following conditions must be met:
- You must have maintained an active, continuously paid subscription for 12 consecutive months without interruption.
- You must have completed the onboarding process, including the intake form and design approval, within 30 days of starting the subscription.
- You must have kept the Fiscal Flow website and landing pages live and publicly accessible on your domain for the full 12-month period.
- You must not have materially altered, removed, or obstructed the landing pages, CRM integrations, tracking codes, or booking systems deployed by Fiscal Flow.
- You must provide reasonable evidence of the annualised recurring fee and current retention status for each client engagement claimed (e.g. engagement letter value, proposal value, invoice history, or confirmation that the client remains active).
- You must submit the refund request in writing to support@fiscalflow.uk within 30 days of the 12-month anniversary of your first paid subscription date.
4.5 Refund Process
Upon receiving a valid Guarantee Refund request, we will review the CRM attribution data and the client engagement evidence provided within 14 business days. If the conditions in Section 4.4 are met and the projected Lifetime Value of attributed clients falls below the 5× threshold, we will process the refund to your original payment method within 30 business days of approval.
4.6 Asset Retention
If a Guarantee Refund is issued, you retain ownership of all assets built by Fiscal Flow during the 12-month period, including the website, landing pages, CRM data, and any content created. Your subscription will be cancelled upon refund processing.
4.7 Exclusions
The Performance Guarantee does not apply to the Fractional CMO & Digital Transformation tier, which is subject to separate terms agreed in the scoping process. The guarantee also does not apply if the Client has materially breached these Terms during the 12-month period, or if the Client has failed to respond to or service leads generated by the system (as evidenced by CRM activity logs showing uncontacted or unanswered leads).
4.8 Sole Remedy
The Guarantee Refund is the Client’s sole and exclusive remedy for dissatisfaction with the lead generation or revenue outcomes of the Service. No additional claims for damages, lost revenue, or consequential losses may be made in connection with the Performance Guarantee.
5. ACCOUNT REGISTRATION & ELIGIBILITY
5.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into binding contracts. By registering, you represent and warrant that all information provided is accurate and complete.
5.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access or security breach. You are liable for all activities conducted under your account.
5.3 One Account Per Practice
Each subscription is licensed for use by a single accounting practice or business entity. Multi-practice groups must purchase separate subscriptions for each location.
5.4 Lead Volume & Capacity
You acknowledge that the Service is designed to generate enquiries. Fiscal Flow is not responsible for your inability to service, answer, or close leads generated by the infrastructure. It is your sole responsibility to pause your campaigns or upgrade your internal capacity if lead volume exceeds your operational limits.
6. PAYMENT TERMS
6.1 Subscription Fees
Subscription fees are charged monthly in advance on the date you subscribe (“Billing Date”), or upon expiration of the Free Trial if applicable. Fees for The Complete Marketing System are £197 per month (GBP) or $297 per month (USD). The applicable currency is determined at the time of subscription based on your billing address and payment method. All fees are exclusive of applicable taxes.
6.2 Automatic Renewal
Your subscription will automatically renew each month unless cancelled before the next Billing Date. By subscribing, you authorize us to charge your designated payment method automatically each month.
6.3 Payment Methods
We accept major credit cards and direct debit via our payment processor (Stripe). You must maintain a valid payment method on file. If payment fails, we will attempt to process payment again within 7 days. Failure to complete payment may result in service suspension.
6.4 Annual Plans
Annual subscription plans may be offered at a discounted rate (equivalent to 10 months’ fees for 12 months of service). Annual plans are billed in a single upfront payment and are non-refundable except as provided in Section 4 (Performance Guarantee). Annual plans renew automatically at the then-current annual rate unless cancelled at least 30 days before the renewal date.
6.5 Price Changes
We reserve the right to modify subscription fees with 30 days’ written notice. Price increases will apply to subsequent billing periods. Continued use of the Service after notice constitutes acceptance of new pricing. Price changes do not affect the current billing period or active annual plans until their renewal date.
6.6 Currency & Exchange Rates
Subscription fees are charged in either GBP (£) or USD ($) as selected at the time of subscription. Currency selection cannot be changed after the first payment without cancelling and re-subscribing. Currency conversion fees applied by your bank or payment processor are your responsibility.
6.7 Taxes
You are responsible for all applicable taxes, duties, and governmental charges (collectively, “Taxes”). If we are required to collect or pay Taxes, they will be charged in addition to subscription fees.
6.8 Refund Policy
No refunds or credits will be provided for partial months, unused services, or mid-month cancellations, except as provided in Section 3 (Free Trial) and Section 4 (Performance Guarantee). One-time setup fees and add-on purchases are non-refundable unless otherwise stated at the point of sale.
6.9 Late Payments
Overdue invoices will accrue interest at 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is lower. We may suspend access to the Service until payment is received.
7. INFRASTRUCTURE GRANT & FEE WAIVER
7.1 Grant Conditions
If you have been accepted into the “Fiscal Flow Infrastructure Grant” program, the standard development fee (valued at £5,000 / $6,500 USD) is waived on the condition that you maintain an active subscription at any tier for a minimum term of 6 months (“Minimum Term”).
7.2 Early Termination
If you cancel your subscription or fail to pay the subscription fees within the Minimum Term, the waived development fee of £5,000 / $6,500 USD becomes immediately due and payable as a recoupment of infrastructure costs.
7.3 Asset Ownership Transfer
Full ownership of the developed website, landing pages, and domain authority transfers to the Client only after:
- (a) The completion of the Minimum Term; OR
- (b) Payment of the development fee specified in Section 7.1.
Until such time, Fiscal Flow retains the right to depublish or reclaim the digital assets upon non-payment.
7.4 Relationship to Free Trial
The 30-day Free Trial (Section 3) does not count toward the 6-month Minimum Term of the Infrastructure Grant. The Minimum Term begins on the date of the first paid subscription payment following the Free Trial.
7.5 Aggregate Data Use (Grant Requirement)
By accepting the Infrastructure Grant, you grant Fiscal Flow a perpetual, irrevocable license to use anonymized performance data from your account (including but not limited to: ranking positions, traffic volumes, and lead counts) for marketing, case studies, and internal benchmarking. We warrant that this data will never identify your specific clients or reveal sensitive financial information.
8. FAIR USAGE POLICY & OVERAGE CHARGES
8.1 Monthly Usage Allowance
Each subscription includes a monthly usage allowance of $30 USD (approximately £25 GBP) to cover infrastructure and communication costs. This allowance covers all platform usage including emails, SMS, phone calls, AI features, and other services detailed below.
Unused allowance rolls over to subsequent months with a maximum rollover cap of $120 USD total.
8.2 Included Services
Your monthly allowance covers usage across the following services:
- Email sending
- SMS/text messages (outbound and inbound)
- Phone calls (outbound and inbound)
- Workflow executions
- AI content generation
- Email verification
- Review AI responses
- Conversation AI
- Voice AI
- WhatsApp messaging
- Premium workflow features
- Other platform infrastructure costs
8.3 Overage Charges
If your monthly usage exceeds your available allowance (including rollover), you will be charged for overages at the following rates:

- Outbound SMS/Text Messages: $0.0087 per message segment
- Email Sending: $0.0007 per email sent
- Outbound Phone Calls: $0.0147 per minute
- Inbound Phone Calls: $0.0089 per minute
- WhatsApp Messages: $0.0777 per message sent
Automation & Workflow Services
- Workflow Premium Features: $0.0105 per execution
- Email Verification: $0.0026 per email verified
AI Services
- Content AI: Text generation: $0.0945 per 1,000 words. Image generation: $0.063 per image.
- Conversation AI: $0.021 per message
- Voice AI: $0.1365 per minute of voice call
- Reviews AI: $0.0105 per review response generated
- Workflow – External AI Models (GPT-4o Mini): Input tokens: $0.63 per 750,000 words. Output tokens: $2.52 per 750,000 words.
- Agent Studio: $0.2625 per 750,000 words
- Funnel AI: $1.0395 per AI-generated funnel
Additional Services
- Domain Purchase: $10.50 per domain (for domains purchased through the platform)
8.4 Usage Calculation
Usage is calculated based on actual consumption tracked by our platform systems. All usage rates are stated in United States Dollars (USD) and converted to your billing currency at the prevailing exchange rate.
8.5 Rollover Mechanism
Unused portions of your monthly $30 allowance accumulate for future use, subject to a maximum rollover cap of $120 USD total (equivalent to 4 months of unused allowance). Once you reach the cap, additional unused allowance does not accumulate.
8.6 Overage Billing
Overage charges are calculated at the end of each billing cycle and charged to your payment method on your next Billing Date along with your monthly subscription fee.
8.7 Usage Monitoring & Notifications
You can monitor your current usage and remaining allowance in real-time through your account dashboard under Settings > Billing. Notifications will be sent at:
- 80% threshold: Email notification when you’ve used $24 of your allowance
- 100% threshold: Email notification when you’ve depleted your allowance and rollover
8.8 Usage Controls
You may set optional usage caps to prevent unexpected charges, including maximum monthly overage limits, alerts at custom thresholds, and the ability to temporarily disable high-usage features.
8.9 Abuse Prevention & Fair Use
The Fair Usage Policy is designed to accommodate normal business use. Excessive usage that indicates abuse, spam, violation of anti-spam laws, or improper use may result in immediate service suspension, investigation, permanent account termination, or referral to law enforcement.
8.10 Regional Rate Variations
Rates shown are primarily based on US/Canada regions. Actual costs may vary for other regions. Current regional rates are available in your account dashboard.
8.11 Refunds for Overage Charges
Overage charges are based on actual metered usage and are non-refundable except in cases of demonstrated platform billing errors, unauthorized access reported within 7 days, or service failures attributable to Fiscal Flow. To dispute overage charges, contact support@fiscalflow.uk within 14 days.

9. DATA OWNERSHIP & PRIVACY
9.1 Your Data Ownership
You retain all rights, title, and interest in and to any data, content, or materials you upload, create, or store using the Service (“Your Data”). We claim no ownership rights over Your Data.
9.2 License to Use Your Data
You grant us a limited, non-exclusive, worldwide license to host, store, process, and display Your Data solely to provide the Service to you. This license terminates when you delete Your Data or terminate your subscription.
9.3 Data Security
We implement industry-standard security measures to protect Your Data, including encryption, access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.
9.4 Data Processing
We process Your Data in accordance with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and, where applicable, the California Consumer Privacy Act (CCPA). Our Privacy Policy, incorporated by reference, details how we collect, use, and protect personal data.
9.5 Data Backup
We perform regular automated backups of Your Data. However, you are responsible for maintaining your own independent backups. We are not liable for data loss except as expressly stated in Section 12.
9.6 Data Export
You may export Your Data at any time through the Service dashboard in standard formats (CSV, JSON, XML). Upon termination, you have 30 days to export Your Data before it is permanently deleted.
9.7 Data Deletion
We will permanently delete Your Data within 30 days of account termination, except where retention is required by law or for dispute resolution purposes.
10. INTELLECTUAL PROPERTY
10.1 Our Intellectual Property
The Service, including all software, designs, text, graphics, interfaces, and underlying technology, is owned by Fiscal Flow and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.
10.2 Client-Generated Content & Website Ownership
Website content, landing pages, and materials created by us specifically for your practice (“Client Content”) are licensed to you for use during your subscription. Upon completion of your first paid month (or completion of the Infrastructure Grant Minimum Term, if applicable), you receive full ownership of the Client Content, including the website, landing pages, and all copy written specifically for your firm.
You may not resell or redistribute Client Content to third parties, but you may continue to use it on your own domain indefinitely after cancellation.
10.3 Templates & Pre-Built Assets
Email templates, automation workflows, social media posts, and other pre-built assets provided as part of the Service remain our intellectual property. You may use them during your subscription but may not extract or redistribute them independently.
10.4 Trademarks
“Fiscal Flow,” our logo, and other brand identifiers are trademarks of Unskipped Ltd. You may not use our trademarks without prior written permission, except as necessary to identify us as your service provider.
11. ACCEPTABLE USE POLICY
11.1 Prohibited Activities
You agree not to use the Service to:
- Send spam, unsolicited communications, or violate anti-spam laws (CAN-SPAM, UK PECR, GDPR, CASL)
- Transmit malware, viruses, or harmful code
- Engage in fraudulent, deceptive, or illegal activities
- Harass, abuse, or harm others
- Infringe intellectual property rights
- Attempt to gain unauthorized access to systems or data
- Scrape, mine, or harvest data from the Service
- Resell or redistribute the Service without authorization
- Impersonate any person or entity
- Interfere with Service operation or other users’ access
11.2 Compliance with Laws
You are responsible for ensuring your use of the Service complies with all applicable laws, including data protection regulations (GDPR, UK PECR, CCPA), marketing laws (CAN-SPAM, CASL), and professional regulations governing accounting practices in your jurisdiction.
11.3 Email & SMS Marketing Compliance
You represent and warrant that you have obtained proper consent to contact recipients, maintain opt-out mechanisms, comply with all applicable email and SMS marketing laws, and will not send unsolicited commercial messages without a lawful basis.
11.4 Enforcement
We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of Service, removal of content, and cooperation with law enforcement.
12. TERM & TERMINATION
12.1 Subscription Term
Your subscription begins on the date you first subscribe (or, if a Free Trial is offered, on the date you start the Free Trial) and continues on a month-to-month basis until terminated by either party, unless you have subscribed to an annual plan.
12.2 Cancellation by Client
You may cancel your subscription at any time by providing notice through your account dashboard or by emailing support@fiscalflow.uk. Cancellation must be submitted before your next Billing Date to avoid charges for the subsequent month.
Effect of Cancellation:
- Access continues until the end of your current paid period.
- No refunds for unused time in the current period (except as provided in Section 3 and Section 4).
- Auto-renewal is disabled.
- You have 30 days after the end of your paid period to export Your Data.
- You retain ownership of all Client Content (website, landing pages, copy) subject to the terms in Section 7 and Section 10.
12.3 Termination by Fiscal Flow
We may suspend or terminate your account immediately if you breach these Terms, your payment fails and is not remedied within 7 days, you engage in prohibited activities under Section 11, we are required to do so by law, or we discontinue the Service entirely (with 60 days’ notice).
12.4 Effect of Termination
Upon termination, your access to the Service is immediately revoked and you remain liable for all fees incurred prior to termination. Sections 4, 7, 9, 10, 12, 13, and 15 survive termination. We will delete Your Data after 30 days unless you export it first.
13. WARRANTIES & LIMITATION OF LIABILITY
13.1 Service Warranty
We warrant that the Service will perform substantially in accordance with the Service Description in Section 2. This warranty does not cover issues caused by misuse, modifications, or third-party services.
13.2 SEO & Lead Generation Disclaimer
Search engine optimization results are inherently unpredictable and depend on factors outside Fiscal Flow’s control, including search engine algorithm changes, competitive activity, and domain authority. While our system is designed to improve search visibility, we do not guarantee specific ranking positions, traffic volumes, or lead quantities. The Performance Guarantee in Section 4 is the sole and exclusive remedy for dissatisfaction with lead generation outcomes.
13.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN SECTIONS 13.1 AND 4, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
13.4 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FISCAL FLOW SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; SERVICE INTERRUPTIONS OR DATA LOSS; OR THIRD-PARTY CLAIMS ARISING FROM YOUR USE OF THE SERVICE.
13.5 Cap on Liability
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM, OR £1,000 / $1,300 USD, WHICHEVER IS GREATER.
13.6 Exceptions
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, gross negligence or willful misconduct, or any liability that cannot be excluded by law.
14. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Fiscal Flow, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising from your use or misuse of the Service, your violation of these Terms, your violation of any laws or third-party rights, Your Data or content you submit, or your marketing activities using the Service.
15. THIRD-PARTY SERVICES
15.1 Integrations
The Service may integrate with third-party platforms (including but not limited to Xero, QuickBooks, Sage, Google, Meta, Stripe, and WordPress). Your use of third-party services is governed by their respective terms and privacy policies. We are not responsible for third-party services or their performance.
15.2 Third-Party Links
The Service may contain links to third-party websites. We do not endorse or control third-party sites and are not liable for their content or practices.
15.3 Add-On Services
Optional add-on services may be subject to additional terms provided at time of purchase.
16. DISPUTE RESOLUTION
16.1 Governing Law
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.
16.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
16.3 Informal Resolution
Before initiating formal proceedings, you agree to contact us at support@fiscalflow.uk to attempt informal resolution. We will make good-faith efforts to resolve disputes amicably within 30 days.
16.4 Arbitration (Optional)
Parties may mutually agree to submit disputes to binding arbitration under the rules of the London Court of International Arbitration (LCIA). Arbitration will be conducted in English in London, England.
16.5 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions or collective proceedings.
17. GENERAL PROVISIONS
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any order forms or scoping documents, constitute the entire agreement between you and Fiscal Flow regarding the Service and supersede all prior agreements.
17.2 Amendments
We may modify these Terms at any time by posting updated Terms on our website. Material changes will be notified via email 30 days in advance. Continued use after changes take effect constitutes acceptance.
17.3 Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to any affiliate or successor without restriction.
17.4 Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, strikes, internet failures, pandemic, or government actions.
17.5 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
17.6 Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

You agree to comply with all export and import laws and regulations. You represent that you are not located in a country subject to embargo and are not on any prohibited parties list.
